1. Company Information & Merchant of Record

OmniRogue is an independent software platform offered under the OmniRogue name.

Merchant of Record (Digital Services Only)

AI Profit University LLC, a Florida limited liability company, acts solely as the merchant of record for certain digital products and services offered through the OmniRogue platform, including software subscriptions, digital licenses, credits, and refundable or non-refundable deposits related to OmniRogue's digital services and white-label software licensing.

In this capacity, AI Profit University LLC is responsible for payment processing, billing, chargebacks, refunds (if applicable), and transaction-related customer support only for those digital products and services for which it serves as merchant of record.

AI Profit University LLC does not act as the merchant of record for any physical products, hardware, merchandise, or tangible goods offered through OmniRogue.

Any physical products are sold, billed, fulfilled, and supported directly by OmniRogue Inc. or other designated sellers under separate terms and policies.

Nothing in these Terms shall be interpreted as creating an ownership, partnership, joint venture, or agency relationship between OmniRogue (or OmniRogue Inc.) and AI Profit University LLC.

2. Description of Services

OmniRogue provides digital access to AI-powered software, long-form video generation tools, automation systems, AI agents, and educational materials.

All Services are delivered digitally. Access is granted immediately upon successful payment or subscription activation. No free trials are offered unless explicitly stated at checkout.

3. Subscription Plans, Billing & Pricing

OmniRogue offers the following subscription plans:

• Bronze – $199 USD per month
• Silver – $299 USD per month
• Gold – $499 USD per month

All prices are subject to change. The price displayed and confirmed at checkout will apply to your purchase or renewal. All prices are charged in U.S. Dollars (USD).

Auto-Renewal & Ongoing Billing Consent

By purchasing a subscription, you expressly acknowledge and agree that:

• Your subscription will automatically renew at the then-current rate until canceled
• AI Profit University LLC, as merchant of record, is authorized to charge your stored payment method for each renewal period without further approval

4. Cancellation Policy

You may cancel your subscription at any time to prevent future billing.

How to Cancel

Cancellations may be completed using either of the following methods:

1. Online Dashboard:
   Log into your OmniRogue account and select "Cancel Subscription" within your Billing or Account settings. Cancellation is processed instantly.
2. Email:
   Send a cancellation request from the email address associated with your account to support@omnirogue.com.
   Email requests are processed within 1–3 business days, and confirmation will be sent once completed.

Timing & Effect

• Cancellation requests must be submitted at least 24 hours before your renewal date to avoid the next charge
• You will retain access through the end of your current paid billing period
• No prorated refunds or credits are issued for unused time

5. Refund Policy

Due to the digital nature of the Services and the immediate allocation of AI compute and system resources:

• Subscriptions are non-refundable once a billing period has started
• Deposits and packages are non-refundable, as they reserve dedicated resources
• Credits are non-refundable and have no cash value

Legal Exception

Refunds will be issued only when required by mandatory consumer protection laws.

6. BYOK (Bring Your Own Key) & Usage

Certain features require users to provide their own third-party API keys (e.g., OpenAI, Anthropic, xAI).

• OmniRogue does not apply markup to BYOK usage
• You are billed directly by the third-party provider
• You are solely responsible for API costs, compliance, and key security

7. Payment Disputes & Chargebacks

If a dispute or chargeback is initiated, AI Profit University LLC, as merchant of record, may temporarily suspend access to the Services while the matter is reviewed.

Transaction records, access logs, and these Terms may be provided to payment processors or issuing banks. Fraudulent or abusive chargeback activity may result in permanent account termination.

8. Privacy Policy

Your use of the Services is governed by our Privacy Policy, available at: omnirogue.com/privacy-policy

9. No Guarantee of Results

OmniRogue provides tools and resources only. We do not guarantee specific outcomes, financial gains, or business success.

10. Limitation of Liability

To the maximum extent permitted by law:

• Services are provided "as is" and "as available"
• AI Profit University LLC is not liable for indirect or consequential damages
• Total liability shall not exceed the amount paid by you in the preceding twelve (12) months

11. Governing Law & Jurisdiction

These Terms are governed by the laws of the State of Florida.

Any disputes shall be resolved exclusively in the state or federal courts located in Florida.
